Bake Layer – Seller Terms and Conditions

Welcome to Bake Layer! These Terms and Conditions (“Terms”) govern your use of Bake Layer’s platform as a seller (“Seller,” “you,” or “your”). By registering or listing products/services on Bake Layer, you agree to these Terms.

1. Eligibility

To sell on Bake Layer, you must:

• Be at least 18 years old;
• Have the legal capacity to enter into binding agreements under Philippine law;
• Comply with all applicable Philippine laws, regulations, and tax obligations.

2. Seller Account

• You must create an account and provide accurate, complete, and up-to-date information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities under your account, including unauthorized use.

3. Product and Service Listings

• You must provide accurate descriptions, images, pricing, and availability of all products/services.
• You may not list prohibited or illegal products/services under Philippine law, including counterfeit items or goods requiring licenses without proper authorization.
• Bake Layer reserves the right to remove listings that violate these Terms or applicable laws.

4. Seller Pricing & Payments (Orders Outside BakeLayer)

Pricing

• Sellers set their own prices for their products or services.
• All prices must comply with applicable Philippine pricing and consumer protection laws.

Payments

• BakeLayer does NOT process, collect, or hold payments between sellers and their customers.
• Sellers must accept payments directly from their customers using their own chosen payment methods (e.g. cash, bank transfer, e-wallets, third-party platforms).
• BakeLayer is not a party to any payment transaction between sellers and customers.

Fees

• BakeLayer may charge sellers platform fees or commissions, as described in the Seller Fee Policy.
• Platform fees are separate from and independent of customer payments.

Taxes & Compliance

Sellers are solely responsible for:

• Declaring and paying all applicable taxes (including VAT and income tax)
• Issuing official receipts or invoices as required by law

BakeLayer does not provide tax advice and does not handle tax reporting on behalf of sellers.

No Payment Liability

BakeLayer is not responsible for:

• Payment disputes between sellers and customers
• Refunds, chargebacks, or failed payments related to seller transactions

Any payment-related issues must be resolved directly between the seller and their customer.

5. Seller Subscription Payments & Cancellation Rules

Payments

• All payments for seller subscriptions are processed securely via our payment partners (e.g., PayPal).
• Prices are shown clearly before checkout.
• By completing a payment, you agree to these rules and our Terms of Service.

AI Credits

• AI credits included in your subscription are consumed immediately when used.
• Used or partially used AI credits are non-refundable.
• Unused credits do not carry over unless explicitly stated in your plan.
• Credits have no cash value and cannot be transferred between accounts.

Subscription Billing

• Subscriptions are billed in advance on a monthly basis.
• You may cancel your subscription at any time from your account settings.
• Cancellation stops future billing but does not refund the current billing period.
• Paid features remain active until the end of your current billing cycle.

Refunds & Exceptions

• All payments are generally non-refundable.
• Refunds may be considered only if:
  • No AI credits were used, and
  • The refund request is made within 24–48 hours of payment.
• Refunds are granted at BakeLayer’s discretion and are not guaranteed.

Failed or Duplicate Payments

• If you believe you were charged incorrectly or twice, contact support within 7 days.
• Verified duplicate charges will be refunded.

Plan Changes & Pricing

• BakeLayer may update subscription pricing, features, or credit allocations.
• Changes apply only to future billing cycles.
• Existing active subscriptions will not be affected mid-cycle.

Abuse Prevention

• Repeated cancellations, refund requests, or disputes may result in:
  • Loss of promotional credits
  • Account suspension or termination

Acceptance

• By subscribing, you acknowledge that you:
  • Understand how AI credits, subscriptions, and cancellations work
  • Are responsible for managing your subscription before renewal dates

6. Order Fulfillment

• Sellers are responsible for timely fulfillment of all orders.
• Sellers must provide accurate shipping information and tracking where applicable.
• Late, lost, or misdelivered orders are the seller’s responsibility unless otherwise specified.

7. Seller Conduct

Sellers must not:

• Engage in fraudulent, deceptive, or illegal activity;
• Misrepresent products or services;
• Interfere with the experience of other users.

Bake Layer may suspend or terminate your account for violations at its discretion.

8. Intellectual Property

• Sellers retain ownership of their content but grant Bake Layer a non-exclusive license to display, market, and promote it on the platform.
• Sellers must respect the intellectual property rights of others and may not list counterfeit or unauthorized products.

9. Limitation of Liability

Bake Layer is a platform connecting sellers and buyers. We are not responsible for:

• Product quality or delivery;
• Buyer disputes beyond providing platform support;
• Losses arising from transactions or interactions.

Sellers agree to indemnify and hold Bake Layer harmless from any claims arising from their listings or transactions.

10. Termination

• Sellers may terminate their account at any time.
• Bake Layer may suspend or terminate accounts for violations of these Terms, at its discretion.

11. Modifications

• Bake Layer may update these Terms at any time.
• Sellers will be notified of material changes via email or platform notification. Continued use of the platform constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any disputes will be resolved in the courts of Metro Manila, Philippines.

By creating a seller account on Bake Layer, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
